JOB SUMMARY

We are seeking a seasoned and business-oriented General Counsel to join our executive team and lead all legal and compliance matters across Subtext’s real estate development, acquisitions, capital markets, fund management, and operations. This individual will play a critical role in shaping legal strategy, mitigating risk, and helping guide the company through continued expansion. This is a highly visible, hands-on role with the opportunity to shape the legal infrastructure of a high-growth organization.

DUTIES AND RESPONSIBIIITIES INCLUDE, BUT ARE NOT LIMITED TO:

Real Estate Development & Transactions

• Structure and negotiate complex joint ventures and financing arrangements.
• Manage legal review of agreements related to acquisitions, dispositions, development, and operations.

Investment Management & Fund Compliance

• Oversee legal aspects of GP/LP relationships, investor reporting, and governance of fund entities.
• Support capital raising activities, including fund formation, offering documentation, subscription agreements, and investor communications.
• Ensure legal compliance with SEC and other applicable regulations for real estate funds and separately managed accounts.

Corporate Governance & Compliance

• Ensure proper governance across all entities and subsidiaries, including structuring partnerships and maintaining corporate records.
• Lead internal compliance efforts related to SEC regulations, anti-money laundering (AML), and other applicable laws.
• Oversee legal aspects of employment-related documentation and other HR-related legal matters.

REQUIREMENTS

• 10+ years of progressive legal experience, including substantial experience in both top-tier law firms and in-house leadership roles.
• Experience supporting a national or multi-regional real estate platform with fund structures.
• Juris Doctor (JD) from an accredited U.S. law school.
• Active license in good standing with at least one U.S. jurisdiction.
• Excellent judgement, strong leadership, and executive communication skills.

LOCATION

Subtext’s corporate office is in Saint Louis, Missouri.  Relocation to the Greater Saint Louis area is preferred. The position is remote eligible for the ideal candidate.
