Position Overview

The General Counsel serves as McAdams’ in-house legal advisor for legal matters, supporting risk management and legally compliant business practices across all areas of firm operation. Reporting to the Chief Operating Officer (COO), this role is responsible for a wide range of general legal support with an emphasis on the creation, negotiation, and ongoing management of professional services agreements, ensuring alignment with regulatory, insurance, and business requirements. The General Counsel works closely with professional services teams, corporate teams, McAdams’ leadership, and external partners to protect the firm’s interests and promote overall operational success.

Key Responsibilities

• Serve as overall general legal counsel for the firm.
• Ensure legally compliant business operations; manage business licenses, support professional license management, and offer general corporate governance support.
• Partner closely with McAdams’ Chief Financial Officer (CFO), COO, and firm leadership to conduct operational risk assessments and support overall business risk management.
• Lead the end-to-end management of all general business and project-related contracts and agreements, including master services agreements, standard professional services agreements, office lease agreements (SNDAs, ROFO/Rs), and acquisition-related agreements (purchase agreements, employment agreements, management services agreements, contract assignments, and lease transfers).
• Partner closely with McAdams’ COO, Service Line Vice Presidents and firm leadership to review incoming project-related contracts and client-requested redlines to McAdams’ standard project agreements; flag high-risk language and recommend revisions.
• Provide training for project managers, business developers, and leadership on best practices in contract management and risk mitigation.
• Maintain a database of past contract reviews and negotiated fallback positions.
• Collaborate with corporate and operational leadership to support contract negotiations with clients, subcontractors, and other business partners upon request.
• Review and approve subconsultant agreements to ensure flow-down of relevant prime contract obligations; partner with McAdams’ Accounting team to validate insurance certificates and other compliance-related documentation; manage subconsultant agreement expirations and renewals.
• Partner with corporate stakeholders to ensure all executed contracts are properly stored according to McAdams’ document retention policies.
• Collaborate with corporate and operational leadership to create new project-related agreement templates and revise existing templates as needed.
• Develop and maintain legal criteria for all standard project-related agreement types, incorporating legal, insurance, and regulatory guidance.
• Research state-specific or client-specific legal and regulatory requirements for contract terms; ensure that all existing contracts meet these requirements.
• Maintain awareness of industry best practices and regulatory changes affecting contract management.
• Assist CFO with procuring and managing professional liability coverage for firm operations.
• Partner with insurance brokers and risk management partners to ensure project contract language aligns with insurance requirements.
• Support the pre-claims process by identifying contract-related factors in potential disputes or incidents.
• In collaboration with outside counsel, provide legal representation during disputes or claims against the firm or its professionals.
• Analyze trends in contract redlines, claims, and negotiations to identify areas for process improvement.
• Partner with McAdams’ corporate teams to streamline contract management workflows using innovative tools.
• Manage McAdams’ shareholder stock redemption and stock offer programs; promote positive shareholder relationships.

Skills + Experience

• Juris Doctor (JD) from an accredited law school and active license to practice law in at least one U.S. jurisdiction required
• 7+ years of legal experience, ideally including in-house counsel or law firm experience focused on construction, engineering, or professional services contracts; experience in construction and design litigation desirable
• Expertise in risk assessment and allocation (e.g., indemnity, limitation of liability, force majeure); demonstrated ability to identify and escalate high-risk clauses and propose alternative solutions
• Experience partnering with insurance carriers for agreement management and claims processing
• Multi-state contract management experience
• Demonstrated ability to draft, review, and negotiate contracts with owners, prime consultants, subconsultants, and vendors
• Ability to provide practical legal advice to project teams and leadership in a timely, business-oriented manner
• Exceptional communication and collaboration skills across varying internal and external audiences
• Strong organization skills and attention to detail
• Ability to think creatively and tailor unique solutions to atypical challenges
• Ability to work in a fast-paced environment and handle multiple priorities and deadlines
• Demonstrated ability to translate complex legal concepts into understandable terms for non-legal audiences
• Ability to handle sensitive, confidential information
• Proficiency with Microsoft 365
• Experience with contract lifecycle management (CLM) systems/tools (such as DocuSign, Adobe Sign) a plus

• Must be able to carry, lift and push/pull up to 5 pounds frequently and up to 30 pounds occasionally.
