Our client, a fast growing publicly traded technology company, has exclusively retained Solutus to assist in hiring an intelligent, self-motivated, energetic, and collaborative General Counsel to help guide the company at an exciting time in the company’s growth. The GC will report directly to the CEO and will be based at the Company’s headquarters in Los Angeles. Relocation candidates will be considered.
 
The GC is a core member of the leadership team and will be responsible for all legal affairs of the Company. This person will lead innovation in the department to facilitate sophisticated problem-solving for the Company. They will serve as a strategic business partner (with a business mentality around growth in a dynamic environment) who will collaborate with other senior leaders to accelerate the growth and evolution of the Company.
 
The ideal candidate will have prior experience as a GC and a deep understanding of the manufacturing sector. A proven ability to collaborate & partner effectively across the business and lead within a management team is required. Experience in the electronics hardware or semiconductor industry is a strong plus, but it is not required. This attorney must demonstrate strong business acumen, an innovative mindset, and the ability to swiftly and decisively translate complex legal principles into practical, actionable business solutions.

Key Responsibilities include:

    • Legal Strategy & Compliance
    • Advise on legal implications of business decisions, corporate strategy, and governance.
    • Ensure compliance with export controls (ITAR/EAR), antitrust, data privacy (GDPR/CCPA), environmental, health/safety, and trade regulations.
    • Monitor global regulatory changes impacting semiconductor manufacturing, sales, and R&D.

    • Securities Compliance and Corporate Governance
    • Support board activities, including governance policies, SEC filings (10K, 10Q, & 8K), and shareholder matters.
    • Review publicly disclosed matters to eliminate shareholder risk
    • Prepare board materials and ensure adherence to governance standards.

    • Equity Compensation
    • Manage equity compensation agreements and MNPI process

    • Contracts & Transactions
    • Negotiate high-stakes agreements (supply chain, licensing, joint ventures, M&A).
    • Manage governmentcontracts and cross-border partnerships.

    • Litigation & Dispute Resolution
    • Manage disputes, litigation, and regulatory investigations.
    • Collaborate with external counsel to mitigate risks and costs.

    • Risk Management
    • Identify legal risks (operational, financial, reputational) and develop mitigation strategies.
    • Implement compliance training programs for employees.

    • Intellectual Property (IP)
    • Oversee global IP strategy: patents, trademarks, trade secrets.
    • Drive IP licensing, litigation, and portfolio management to protect innovations.

    • Team Leadership
    • Develop and lead small in-house legal team and manage external counsel.
    • Optimize budgets and legal operations for efficiency.

The ideal candidate will have the following qualifications:

    • J.D. and 15+ years’ legal experience, including 5+ years’ experience as public company GC or assistant / associate GC.
    • Proven manager of small legal team.
    • Deep expertise & track record in managing public company securities compliance, corporate governance, and commercial agreements.
    • Strong international experience is important (Europe, Asia).
    • Experience in M&A, joint venture / partnerships, and complex IP management is strongly preferred.
    • Experience in electronics hardware or semiconductors is strongly preferred.
    • Demonstrated skills in partnering with C-suite in defining company vision, strategy, and priorities.
    • High attention to detail and the ability to manage multiple projects simultaneously.
    • Strong written and verbal communication skills.
    • Full-time in Los Angeles.
Compensation is targeted at a base salary range of $300,000 to $350,000, plus 50% bonus, equity, and benefits. Base salary and overall compensation will be determined by number of years of directly relevant experience and history of success.
