As we grow, we are seeking to add an in-house Legal Counsel to provide expert legal guidance on employment law, intellectual property, and contractual matters, with a particular focus on U.S. regulations and corporate risk management.


Position Overview:

We are seeking an experienced Head of Legal with expertise in startup formation, employment law, contract law, and corporate risk management to support our growing company with partnerships The ideal candidate will play a key role in handling legal matters related to former employees, mitigating reputational risks, and ensuring compliance with U.S. federal and state-specific laws. This role is particularly suited for someone with experience working with early-stage startups, including advising on stock option documents, crowdfunding regulations, and corporate structuring.

Key Responsibilities:

  • Provide strategic legal counsel on employment termination, post-employment obligations, and risk mitigation to safeguard company interests.

  • Address reputational risks, including unauthorized use of company branding and improper client interactions by former employees.

  • Draft, review, and negotiate legal documents, including contracts, NDAs, stock option agreements, cease & desist letters, and equity-related documents.

  • Advise on multi-state employment laws and regulations, ensuring compliance across different U.S. jurisdictions.

  • Collaborate with internal teams to proactively manage legal risks and implement compliance strategies.

  • Represent the company in negotiations, dispute resolution, and, if necessary, legal proceedings.

  • Provide legal support on crowdfunding, early-stage investment agreements, and regulatory compliance for startup financing.

  • Offer guidance on intellectual property protection, technology law, and data privacy regulations relevant to our industry.

Qualifications:

  • Juris Doctor (JD) degree and active bar membership in the U.S.

  • 8+ years of experience in employment law, contract law, and corporate risk management, preferably within startups or technology companies.

  • Proven expertise in handling legal matters related to former employees, reputational risks, and contract enforcement.

  • Strong knowledge of U.S. business laws across multiple states, including labor regulations, intellectual property, and startup financing.

  • Experience advising early-stage startups, including familiarity with stock option agreements, crowdfunding laws, and investor agreements.

  • Exceptional negotiation, communication, and problem-solving skills.

  • Ability to work independently and provide proactive legal solutions in a fast-paced startup environment.

Preferred Qualifications:

  • Experience working with international remote teams and handling cross-border legal considerations.

  • Familiarity with AI-related legal issues, technology law, and data privacy regulations.

  • Prior experience advising high-growth technology companies on compliance, risk management, and regulatory matters.
