Position Summary

The position: The Assistant General Counsel is responsible for supporting and advancing all functions of the in-house legal department. This role will operate as a true generalist, carrying a wide scope of responsibility across a range of practice areas, including commercial contracts, litigation, corporate governance, and privacy. The Assistant General Counsel is expected to seamlessly navigate between disciplines, providing practical, solutions-oriented advice on a variety of legal issues.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of commercial contracts, including property management agreements, non-disclosure agreements, master service agreements, construction-related agreements, amendments, and assignments.
  • Coordinate with outside counsel, manage and oversee a wide variety of litigation, pre-litigation disputes, and regulatory and investigatory matters.
  • Advise on corporate governance matters, including corporate structure, entity management, preparation of corporate documents, and maintenance of corporate records.
  • Counsel on privacy-related matters, including review and negotiation of data processing agreements, internal compliance initiatives, and advising on applicable privacy laws.
  • Develop and implement legal templates, playbooks, and processes to improve efficiency and scalability within the legal function.
  • Monitor and communicate relevant changes in laws, regulations, and best practices that could impact the business.
  • Collaborate with internal teams and external partners to support cross-functional initiatives and special projects, providing practical legal guidance that enables business growth while minimizing risk and ensuring alignment with company objectives.
  • Handle other general corporate, transactional, compliance, and risk management matters as needed.

Qualifications

Education & Experience:

  • Juris Doctor (J.D.) from an accredited U.S. law school
  • Licensed to practice law and in good standing in at least one U.S. jurisdiction
  • Five years of relevant legal experience, with a strong preference for candidates who have worked in-house at a real estate services or property management company
  • Knowledge of commercial contract law, including terms, negotiation strategies, and risk mitigation in agreements such as property management contracts, MSAs, NDAs, and construction-related agreements.
  • Knowledge of corporate governance principles, including entity formation, maintenance, and compliance documentation.
  • Skilled in drafting, reviewing, and negotiating complex legal agreements with precision and strategic insight.
  • Skilled in developing legal processes and playbooks to streamline workflows and increase department efficiency.
  • Skilled in organization, project management, and time management practices, with the ability to handle multiple priorities independently.
  • Ability to explain complex legal concepts clearly and succinctly to business audiences.
  • Ability to think proactively, solve problems independently, and collaborate effectively across teams.
  • Ability to maintain confidentiality and demonstrate integrity in handling sensitive and proprietary information.
  • Skilled in Microsoft Word, Excel, PowerPoint, and Adobe Acrobat; experience with contract lifecycle management platforms is a plus.

Physical Requirements:

  • May be required to sit or stand for extended periods of time
  • Must be able to read documents, computer screens and data
  • Must be able to hear and understand verbal communications in person and over the phone or computer
  • May occasionally be required to lift or carry items such as files or office supplies weighing up to 15 pounds
  • Must be able to operate a computer, keyboard, mouse and other office equipment

Work Environment:

  • This is a hybrid role, requiring the associate to work in one of our corporate or regional offices 4 days per week
  • The office is an open setting which may include bright lights, constant noises and distractions
