The Associate General Counsel will serve as a key legal advisor to the General Counsel of a large physician practice, focusing on physician employment matters, healthcare regulatory compliance, and corporate governance. The role will oversee paralegal and administrative staff, collaborate with a Management Services Organization (MSO) providing centralized legal support, and contribute to strategic initiatives and operational excellence.
Team & Departmental Leadership
Oversee paralegal and administrative staff, ensuring effective workflow and professional development.
Support the General Counsel in setting priorities and managing departmental budget and legal expenses.
Physician Practice Support
Provide legal counsel on physician employment agreements, onboarding, compensation structures, recruitment, contracting, and practice acquisition.
Advise on clinical operations and compliance with state licensing and billing regulations.
Develop and report accountability assessments for physician contracts.
Draft, negotiate, and review contracts primarily related to physician employment, professional services, and practice acquisitions.
​Healthcare Law & Regulatory Compliance
Counsel leadership and providers on federal and state healthcare laws, including Stark Law, Anti-Kickback Statute, False Claims Act, HIPAA, release of information regulations, billing and reimbursement rules, and 340B program compliance.
Lead compliance initiatives related to Stark Group Practice, TCPA, No Surprises Act, and other relevant regulations.
Corporate Governance & Strategic Transactions
Advise on corporate governance documents, including bylaws, operating agreements, and management services agreement, also including drafting policies and playbooks.
Support governance processes, including board matters, committee structures, and policy development.
Advise on mergers, acquisitions, joint ventures, and practice integrations.
Training & Education
Provide training to physicians and leadership on legal topics such as attorney-client privilege, confidential communications, fraud and abuse, and regulatory updates.
Litigation & External Counsel Coordination
Coordinate with MSO legal team on vendor and administrative agreements as needed.
Develop relationships with outside counsel for litigation and other outsourced legal matters, in coordination with the MSO.
Juris Doctor (JD) from an accredited law school required.
Active license to practice law required.
Minimum [5] years of experience in healthcare law, with emphasis on physician practice support, regulatory compliance, and corporate governance.
Demonstrated expertise in physician employment agreements, practice acquisitions, and healthcare regulatory frameworks.
Experience overseeing paralegal and administrative staff.
Strong communication and relationship-building skills.
Ability to work collaboratively with MSO legal teams and clinical leadership.
Subject matter expertise in areas such as:
Healthcare transactions (including buy/sell side oncology practice transactions, joint ventures, specialty pharmacy/340B reimbursement, value-based arrangements, hospital-based infusion centers)
Regulatory compliance (Stark, AKS, HIPAA, Medicare/Medicaid, CPOM)
Corporate governance and board support
Compliance program development and implementation
Risk assessment and mitigation
Clinical research agreements and compliance
