Job Summary

The General Counsel will be the chief legal officer for the company, responsible for overseeing all legal aspects of our business. This executive role requires a strategic thinker with strong business acumen who can provide expert legal counsel to senior leadership, manage risk, and ensure regulatory compliance. You will be a key partner in shaping our company's future, navigating complex legal landscapes, and fostering a culture of integrity.


Key Responsibilities

  • Serve as the primary legal advisor to the CEO, Board of Directors, and the senior executive team on all legal, regulatory, and compliance matters.
  • Draft, review, and negotiate a wide variety of complex commercial agreements, including client contracts, vendor agreements, partnership deals, and licensing agreements.
  • Develop and lead the company's corporate legal strategy to promote and protect the company's interests.
  • Oversee the management of the company's litigation, investigations, and dispute resolution efforts, including managing outside counsel effectively.
  • Establish and maintain a robust corporate governance framework and ensure the company's compliance with all applicable laws and regulations.
  • Provide counsel on employment law matters, including policies, compensation, and employee relations issues.
  • Manage the company’s intellectual property portfolio, including trademarks, copyrights, and trade secrets.
  • Advise on strategic transactions, including mergers, acquisitions, and joint ventures, from due diligence through integration.
Requirements

Qualifications

  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Must be an active member in good standing of the North Carolina State Bar and/or The Florida Bar.
  • A minimum of 10-15 years of progressive legal experience, with a strong preference for a combination of experience at a reputable law firm and in-house as corporate counsel.
  • Demonstrated experience providing counsel to executive teams on a wide range of legal and business issues.
  • Extensive background in corporate and commercial law, contract negotiation, and corporate governance.
  • Excellent business judgment and the ability to analyze legal issues in the context of business objectives.
  • Exceptional leadership, communication, and interpersonal skills with the ability to build strong relationships across the organization.
  • Unquestionable integrity and a commitment to the highest ethical standards.
