General Counsel (Hybrid—Denver, CO)

We are seeking a highly skilled General Counsel with specialized experience in commercial agreements and infrastructure development to join our executive team at Voltera. This person will play a pivotal role in overseeing all legal aspects of Voltera including, but not limited to, our real estate transactions, commercial contracts, and corporate legal matters ensuring compliance, mitigating risks, and facilitating successful deal structuring and financing. 

WHAT YOU’LL DO:

• Work alongside the Commercial Operations team to oversee our entire legal process in support of EV infrastructure development.
• Work with outside counsel to provide expert legal guidance for real estate transactions from due diligence through closing.
• Draft, review, and negotiate transactional agreements on both buy-and sell-side (e.g., sales contracts, purchase agreements, vendor contracts, commercial and corporate JV agreements, debt financing, etc.).
• Offer legal counsel to the CEO and board members, participating in board meetings and leading board-sponsored legal initiatives as needed.
• Collaborate with internal stakeholders—including Commercial Operations, Finance, Government Affairs, Sales, Procurement, Product, Real Estate, and Development teams—to assess legal risks and offer strategic guidance.
• Manage and coordinate outside legal counsel to ensure cost-effective legal support and risk management assistance.
• Ensure compliance with all laws, regulations, and industry standards.
• Ensure that company executives, management, and board members do not violate their fiduciary duties.
• Advise on litigation, corporate governance, and regulatory matters by staying informed of legal and industry developments.
• Serve as a liaison to investors (currently private equity) and provide support on investor-related legal matters as needed.
• Provide support on potential M&A activities.
• Perform additional responsibilities as assigned.

MUST-HAVE:

• Undergraduate degree in Planning, Policy, Administration, Law, or Business
• Prior experience in large infrastructure development projects such as data centers, energy, solar, etc.
• Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state Bar
• 15+ years of experience practicing law with a focus on infrastructure development transactions, preferably in a corporate or law firm setting
• Proven expertise in real estate deal financing, including familiarity with debt financing, equity investments, tax considerations, and related financial instruments
• Strong negotiation skills and the ability to draft complex legal documents with precision and attention to detail
• Excellent interpersonal and communication skills, with the ability to effectively collaborate with cross-functional teams and external partners
• Strategic thinker with a proactive approach to problem-solving and decision-making
• Experience managing legal risks in a dynamic and fast-paced environment
• Experience working within the real estate investment or development industry

NICE-TO-HAVE:

• Prior in-house counsel experience

LOCATION:

• Los Angeles, CA or Denver, CO (Hybrid)

Base salary ($275,000 to $325,000): Exact compensation may vary based on skills, experience, and location. Our total compensation package includes the base salary, bonus, incentive equity compensation, and competitive benefits (medical/vision/dental insurance, matching 401(k), paid vacation time, & EV incentive).
