 The In-House General Counsel  will set the long-term strategic vision, priorities, and budget for the Legal team, ensure that the company and its employees stay in compliance with applicable laws and regulations, advise and liaise with the executive team on strategic initiatives, and handle most sensitive and important legal matters 


  

Responsibilities:

  • Advise all departments on legal norms, restrictions, and policies
  • Advise management and staff on legal issues related to programmatic initiatives
  • Advise the HR team on federal,  multi-state, and employment law
  • Determine when legal actions are necessary
  • Establish and manage relationships with outside counsel.
  • Manage, develop, and mentor the legal team. Manage the department’s budget and spending
  • Negotiate and draft various contracts and service agreements (i.e. finance agreements, acquisitions agreements, and joint venture agreements)
  • Negotiate, review and manage all legal aspects of project acquisition, development
  • Oversee IP and litigation docket
  • Oversee M&A and strategic corporate initiatives
  • Provide legal counsel to the executive team and the Board of Directors, including drafting and revising corporate policies, bylaws, minutes, agendas, and resolutions
  • Responds to demand and claim letters from outside advising attorneys. 
  • Review and analyze all contracts, forms, and legal documents
  • Other duties as assigned

You will qualify for Bonus plan decided between you and the Chief Executive Officer.

Requirements

  Qualifications:

  • Bar membership in good standing.
  • Ability to anticipate, de-escalate, and resolve disagreements and complaints in a practical and      constructive manner in order to achieve results.
  • Ability to convey information clearly, accurately, and appropriately to different audiences, including employees, senior leadership, and the public. Able to communicate legal      findings and decisions briefly, simply, and persuasively.
  • Ability to critically evaluate a wide range of issues and provide sound legal advice. 
  • Ability to quickly take complex  concepts and make difficult judgments in the best interests of the  organization.
  • Ability to think strategically, anticipate potential problems, and design creative, out-of-the-box      solutions.  
  • Delegates skillfully. Inspires  and motivates others to take action and meet goals and holds the team accountable.
  • Demonstrated ability to foster high-performing teams and develop and motivate staff with transparency and  collaboration.
  • Effectively manages a high  volume of work through various methods of organization, project and task management, and prioritization as needs evolve.
  • Extremely strong business  acumen.
  • Heavy focus on “Business Litigation”
  • JD from an accredited law school.
  • Over 10 years of prior experience at a top law firm or in-house, including at least 5-years of      prior in-house counsel experience.

  • Ability to analyze complex business and legal issues to provide legal services and advice
  • Ability to quickly assess  information, anticipates issues, and makes recommendations to Senior Management
  • Strong organization skills with a high level of accuracy and attention to detail
  • Works well on a team and collaborates with others but also be able to work independently
  • Ability to interact with employees, vendors, visitors, and candidates in a professional and      courteous manner
  • Excellent verbal, written and  group communication skills- ability to communicate with technical and  non-technical audiences
  • Ability to analyze and interpret high volume of data in an efficient manner
  • Ability to effectively manage tasks with minimal supervision
  • Must be diligent and persistent in follow-up and completion
  • Capable of multi-tasking and  meeting tight deadlines
  • Able to function in a  fast-paced, high stress environment
  • Strong working knowledge of  Windows operating system-experience
  • Requires proficiency in Microsoft Office applications
  • Ability to type at a net rate of 60 wpm using a computer keyboard
  • Must display high moral ethics and display the capacity to lead through strategic thinking and problem solving/analysis
  • Ability to understand, articulate, and represent the company’s “culture”
  • Flexible and adaptable to support internal organizational needs and demonstrating professional demeanor

Physical Demands & Work Environment:
The Corporate Counsel must be able to bend, stoop, stand, drive, and sit for various lengths of time. They must be able to lift and carry items up to 20 lbs.
 

This is primarily a sedentary office classification and employees work in an office with moderate noise levels, controlled temperature conditions, and no direct exposure to hazardous physical substances. However, a portion of the time the employee will be on the road driving in various weather conditions. 

Salary Description
$140,000-$185,000.00
